The following terms and conditions govern the sale by the ComputerLINK entity
named on the invoice/packing slip that will be provided to the Customer on
orders for computer systems and/or related products sold in the United States.
By accepting delivery of the computer systems and/or other products described
on that invoice/packing slip, Customer agrees to be bound by and accepts these
terms and conditions. THESE TERMS AND CONDITIONS APPLY (i) UNLESS THE CUSTOMER
HAS SIGNED A SEPARATE FORMAL PURCHASE AGREEMENT WITH OUR COMPANY, IN WHICH
CASE THE SEPARATE AGREEMENT SHALL GOVERN OR (ii) UNLESS OTHER COMPUTERLINK
STANDARD TERMS APPLY TO THE TRANSACTION. These terms and conditions are subject
to change without prior written notice at any time, at our sole discretion.
Returns
Returns are subject to management's approval and up to 25% restocking fees for
returns within 30 days of invoice date. No returns after 30 days. All freight
related fees are not refundable.
Shipping Charges and Tax
Prices shown do not include sales tax or shipping and handling charges, if
applicable. ComputerLINK will collect from, and Customer is responsible to pay
for, sales and all other taxes associated with the order, unless ComputerLINK is
provided a valid and correct tax exemption certificate prior to order
acceptance.
Payment Terms, Orders, Quote
Payment terms are within our sole discretion, and,unless otherwise agreed to by us, payment must be received by us prior to our
acceptance of an order. Orders are not binding upon ComputerLINK until accepted
by ComputerLINK. All accounts on Net terms must issue a written PO. Any quotations given by ComputerLINK will be valid for the
period stated in quotation. Prices are subject to change without notice.
Delivery Terms
We ship promptly based on product availability. We average 3-5 business days
for most of the custom built configurations. All orders are
shipped via trucking or carriers like UPS and Fedex.
- You must provide a delivery address, as we cannot ship to a P.O. Box.
- Alaska, Hawaii and some rural locations may require additional delivery
time and additional charges.
- All shipments within the United States (including Alaska and Hawaii)
must be insured.
- ComputerLINK is not responsible for shipping or other delays caused by
events beyond our control.
- Products offered by ComputerLINK are shipped as a domestic sale to the
purchaser.
Product Availability
Limited stock available. Offers are valid while supplies last. Prices may
fluctuate; call for current pricing. Products may not be available for immediate
delivery.
Title
ComputerLINK retains title to the Goods until the Buyer has performed all
of the obligations due and owing to ComputerLINK under this Agreement, and
until the purchase price of the Goods has been fully paid. ComputerLINK retains
a security interest in the Goods, and in all accessions to, replacements of,
and proceeds from the Goods, as security for the performance by the Buyer
of all the Buyer's obligations arising under this Agreement. On the occurrence
of any event of default, and at any later time, ComputerLINK may, at ComputerLINK's
option and without demand or notice to the Buyer, declare all amounts remaining
unpaid under this Agreement to be immediately due and payable, and ComputerLINK
may proceed to enforce payment and exercise any and all of the rights and
remedies provided by the California Commercial Code as well as other rights
and remedies either at law or in equity possessed by ComputerLINK.
Limitation of Liability
COMPUTERLINK DOES NOT ACCEPT LIABILITY BEYOND THE REMEDIES SET FORTH HEREIN,
INCLUDING ANY LIABILITY FOR PRODUCTS NOT BEING AVAILABLE FOR USE OR FOR LOSS
OR CORRUPTED DATA OR SOFTWARE. COMPUTERLINK WILL NOT BE LIABLE FOR LOST PROFITS,
LOSS OF BUSINESS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT OR PUNITIVE DAMAGES,
EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY
THIRD PARTY EXCEPT AS EXPRESSLY PROVIDED HEREIN.
